This SeminarIQ Product Addendum (this "Addendum") governs your access to and use of SeminarIQ, a software tool operated by Best Days Labs LLC ("Best Days Labs," "we," "us," "our").
This Addendum is a product-specific document under Section 29 of the Best Days Labs LLC Terms & Conditions (the "Terms"). The Terms, the Privacy Policy, and the Results Disclaimer all apply to SeminarIQ in full. Where this Addendum conflicts with the Terms, this Addendum controls with respect to SeminarIQ.
Capitalized terms not defined here have the meaning given in the Terms.
Three things you need to understand before you use SeminarIQ:
Client information belongs only in the designated Client Data Features of SeminarIQ Pro. Everywhere else — the free tier, the simulation fields, notes, scenario names — client information is prohibited. And certain high-sensitivity data (Social Security numbers, account numbers, health information, and similar) is never permitted anywhere. See Section 3.
Its output is hypothetical and internal-only. Do not show a SeminarIQ number to a prospect, a client, or the public.
It is a bundled bonus, not a purchased good. No portion of any price you paid is allocated to it, we can take it away, and we are not your recordkeeper.
1. What SeminarIQ Is
SeminarIQ is a web-based seminar marketing planning and management tool. It allows you to model the economics of a seminar marketing campaign by entering assumptions — costs, expected registration rates, show rates, appointment rates, close rates, revenue per client, and similar business inputs — and calculating projected outcomes from them. SeminarIQ Pro additionally includes designated Client Data Features for managing client-, household-, prospect-, opportunity-, and campaign-level records related to your seminar marketing (Section 3).
SeminarIQ is:
A simulator and calculator that performs arithmetic on assumptions you supply
An internal business planning and campaign management tool
In its Pro tier, a tool with designated Client Data Features, handled under the Client Data Terms in Section 3
Educational and informational in purpose
SeminarIQ is not:
A full client relationship management (CRM) system or a system of record for your book of business
A books-and-records or archival system for any purpose, including Advisers Act Rule 204-2
A compliance system, a compliance review, or a compliance approval
A source of investment, legal, tax, accounting, regulatory, or compliance advice
A prediction, forecast, or representation of any result you will achieve
Designed, built, or intended to receive Prohibited Data (Section 3.3) in any field
2. How You Get Access, and What That Means
SeminarIQ is not sold separately and cannot be purchased on its own.
SeminarIQ (base). Simulation and optimization features only. Provided at no charge, as a promotional courtesy, to qualified attendees of our webinars. Limited to one individual user and one firm.
SeminarIQ Pro. Provided as a bundled component of The Seminar Machine, to purchasers in good standing, for the number of Authorized Users stated at purchase.
2.1 No Allocation of Price, No Consideration, No Refund
No portion of the purchase price of The Seminar Machine, or of any other product, is allocated to or paid in consideration of SeminarIQ. Bundled SeminarIQ access is a promotional bonus. We may state a retail, list, or subscription value for SeminarIQ in our marketing (for example, a monthly price at which SeminarIQ is or may be offered as a standalone subscription); any such stated value describes the price of standalone access and is not an allocation of any portion of your purchase price to SeminarIQ. See Terms Section 4.2.
Base access is provided for no consideration whatsoever.
No event relating to SeminarIQ — including its unavailability, downtime, degradation, modification, feature removal, gating, discontinuation, or permanent withdrawal; any error, defect, or inaccuracy in any output; any loss, corruption, or deletion of any data; or any suspension or termination of your access — gives rise to any refund, credit, extension, price adjustment, damages, or claim in respect of SeminarIQ or of any other product. See Terms Sections 4.2 and 12.6.
2.2 We May Withdraw It at Any Time
We may suspend, restrict, degrade, gate, modify, or permanently discontinue SeminarIQ, in whole or in part, for you or for everyone, at any time, in our sole discretion, with or without cause, and with or without notice.
We have no obligation to continue offering SeminarIQ, to any person, for any period. No such action is a breach of the Terms or this Addendum, and no such action entitles you to any compensation.
2.3 Access Is Tied to Your Underlying Product
SeminarIQ Pro access terminates automatically when your access to The Seminar Machine terminates, expires, or is suspended, for any reason, including non-payment, refund, chargeback, or breach.
SeminarIQ base access may be terminated at any time, with or without cause and without notice.
2.4 Beta and Experimental Features
We may offer features designated as beta, preview, pilot, experimental, or early access. These features are provided as-is, may be less reliable than other features, may change or be removed at any time without notice, and may be subject to additional terms presented when you enable them. Any feedback you provide on them is governed by Terms Section 16. No beta feature, its availability, or its removal creates any right, expectation, refund, or claim.
3. Client Data Rules and Client Data Terms
This is the most important section of this Addendum.
3.1 Where Client Data Is Permitted — and Where It Is Not
SeminarIQ Pro includes features expressly designed and labeled to accept client-, household-, prospect-, opportunity-, and campaign-level records ("Client Data Features"). Nonpublic personal information about your clients, households, prospects, or other consumers that you enter into a Client Data Feature is "Client Data" and is governed by the Client Data Terms in Sections 3.4 through 3.11.
Client Data is permitted only in Client Data Features. Everywhere else in SeminarIQ, client information is prohibited, including:
SeminarIQ base (free tier), which contains no Client Data Features
Any simulation or planning field — including any free-text, notes, description, label, title, comment, or scenario-name field outside a Client Data Feature
Name your scenarios things like "Fall Campaign — Venue A," not "Bob and Carol Henderson." In simulation fields, use aggregate figures, anonymized inputs, and business assumptions.
3.2 Your Representations
By entering Client Data, you represent and agree that:
You have the legal right and any required authority, consent, or notice basis to provide it to us for processing as described in these Client Data Terms
Your firm has approved your use of a third-party tool for this data, where approval is required by your firm's policies or supervising entities
You remain the owner of, and solely responsible for, your Client Data, including its accuracy and lawful collection
Your own obligations under Regulation S-P, the Gramm-Leach-Bliley Act, and state privacy and data-security laws remain yours, including your obligations to safeguard customer information, oversee your service providers, maintain your own books and records, and make any legally required notifications to your clients and regulators
3.3 Prohibited Data — Never, Anywhere
The following must never be entered into SeminarIQ — in any tier, in any field, including Client Data Features:
Social Security numbers and tax identification numbers
Driver's license, passport, and other government identification numbers
Financial account numbers, payment card numbers, and banking credentials
Login credentials of any third party or any client
Health, medical, or biometric information
Information about individuals under 18
Client Data Features do not require this information, and our systems are not designed to hold it. Entering Prohibited Data is a material breach; we may delete it at any time without notice, and Sections 3.12 and Terms Section 21.6 apply.
Sections 3.4 through 3.11 are the "Client Data Terms." They state how we handle Client Data lawfully entered into Client Data Features.
3.4 Ownership and License
Your firm owns its Client Data. You grant us a limited, non-exclusive license to host, store, process, transmit, and display Client Data solely as necessary to provide, secure, maintain, and support the services and as otherwise expressly permitted by these Client Data Terms. We acquire no other right, title, or interest in Client Data.
3.5 Our Role
Solely with respect to Client Data, we act as a service provider to your firm for the limited purpose of providing the services. We process Client Data only on the instructions embodied in your use of the features, these Client Data Terms, and your written directions. We are not a fiduciary, a co-controller for your regulatory purposes, or your compliance department.
3.6 Use and Disclosure Restrictions
We will not:
Use or disclose Client Data for marketing, advertising, recruiting, audience-building, or business development purposes — ours, our Affiliates', our Partners', or anyone else's — ever
Share Client Data with any Affiliate or Partner, for any purpose, ever
Sell Client Data, ever
We disclose Client Data only: (a) to the infrastructure service providers necessary to host and operate the services (currently including Supabase for database, authentication, and storage; Vercel for application hosting; and Resend for transactional email), each of which processes it subject to its own security commitments; (b) as required by valid legal process served on us, in which case we will notify your firm unless legally prohibited; or (c) at your direction.
Permitted internal uses are limited to: providing, securing, maintaining, and supporting the services; and deriving aggregated, de-identified statistics in which no client, household, or consumer is identifiable (including community benchmarks), as described in Privacy Policy Sections 2.1 and 7.2. We do not use Client Data to train artificial intelligence models in identifiable form.
3.7 Security
We maintain administrative, technical, and organizational measures that we consider reasonable and appropriate for a business of our size and type, designed to protect Client Data, including authentication, role-based access controls, database-level tenant isolation between firms, and encryption in transit and at rest. We do not guarantee, warrant, or represent that Client Data will be secure, and Terms Sections 22, 22.1, and 23 apply.
3.8 Breach Notification to Your Firm
If we determine that unauthorized access to unencrypted Client Data has occurred, we will notify your firm without unreasonable delay, and in any event no later than seventy-two (72) hours after that determination, using the email address associated with your account. We will provide the information reasonably available to us about the nature and scope of the incident to assist your firm in meeting its own obligations.
Your firm remains solely responsible for its own legal obligations arising from any incident, including its incident response program, its risk assessment, and any notification to its clients, regulators, or other parties. We do not make notifications to your clients or your regulators on your behalf.
3.9 Retention, Deletion, and Export
While your SeminarIQ Pro subscription or bundled access is active, we will not intentionally delete your Client Data, except for Prohibited Data, as required by law or legal process, or at your direction. We provide no backup, recovery, or archival warranty, and Terms Section 7.1 (We Are Not Your Recordkeeper) continues to apply: SeminarIQ is not your books-and-records system, and your retention obligations are satisfied by your systems, not ours.
Upon termination of your access, we may delete Client Data at any time in the ordinary course of business, without notice. Export what you need before termination.
We will honor a verified written request from your firm to delete its Client Data within a reasonable period, subject to retention required by law, legal hold, and residual copies in backups that are purged on our ordinary schedule.
3.10 Confidentiality
We treat Client Data as your firm's confidential information and restrict access to personnel and service providers who need it to provide the services.
3.11 Liability
Our liability with respect to Client Data is subject to Terms Sections 22.1 and 23 (including the third-party infrastructure allocation and the caps), except where a limitation is prohibited by law, including La. Civ. Code art. 2004 as to intentional or gross fault.
3.12 Consequences of Violations
Entering Prohibited Data anywhere, or entering client information outside a designated Client Data Feature, is a material breach of the Terms and this Addendum. If you do so: you do so entirely at your own risk; you remain solely responsible for any resulting obligation, cost, liability, fine, penalty, examination, or claim; you agree to indemnify, defend, and hold us harmless per Terms Section 25, including our costs of identifying, isolating, securing, and deleting it; we may delete it at any time without notice and without any obligation to preserve, return, secure, or account for it; and we may suspend or terminate your access without refund. Information provided in violation of this Section is not Client Data and is not covered by the Client Data Terms. You cannot create a legal obligation on our part by breaching this Section.
3.13 No Waiver
Our failure to detect, prevent, remove, or object to any information entered in violation of this Section does not constitute consent, acceptance, waiver, or modification of this Section, and creates no duty on our part with respect to that information.
4. SeminarIQ Output Is Hypothetical and Internal-Only
4.1 What the Output Is
Every number SeminarIQ produces — every projection, every optimization, every scenario result, every chart, every ROI figure, every revenue estimate, every break-even point — is a hypothetical projection calculated from assumptions you supplied.
It is not:
Actual results, or a report of anything that happened
Past performance
A prediction, forecast, or estimate of what you will achieve
A representation, warranty, or guarantee of any outcome
Verified, audited, benchmarked against any peer set, or validated against any data source
Advice
A projection is arithmetic performed on your assumptions. If your assumptions are wrong, the output is wrong. Change one input and every number changes. That is what the tool is for.
4.2 THE INTERNAL-USE-ONLY RULE
You may not use, reproduce, distribute, display, present, publish, screenshot, or reference any SeminarIQ output — or any number, figure, chart, table, or projection derived from it — in:
Any communication to any prospect, client, investor, or member of the public
Any advertisement, marketing material, or sales material
Any seminar presentation, webinar, slide deck, or handout shown to prospects or clients
Any social media post, website, email campaign, or public statement
Any proposal, illustration, or client-facing document
Any recruiting or affiliation pitch to another advisor or firm
SeminarIQ output is for your eyes and your firm's internal planning. Full stop.
4.3 Why This Rule Exists
If you are an investment adviser or an associated person of one, presenting hypothetical or projected performance to prospects or clients may cause the communication to constitute an advertisement subject to SEC Rule 206(4)-1 (the Marketing Rule), which imposes specific and demanding requirements on the presentation of hypothetical performance — including requirements that you adopt and implement policies and procedures reasonably designed to ensure the information is relevant to the likely financial situation and investment objectives of the intended audience, and that you provide sufficient information to understand the criteria and assumptions used.
Similar restrictions apply under FINRA rules if you are associated with a broker-dealer, and under state insurance and securities advertising rules.
We do not satisfy any of those requirements for you. We cannot. That exposure is entirely yours.
This Section exists to make unmistakably clear that you have no permission from us to use SeminarIQ output externally, and that if you do so, you do it against our express written prohibition.
4.4 The Model Is Just a Model
SeminarIQ's calculation model contains default assumptions and illustrative values — sample show rates, close rates, revenue-per-client figures, cost estimates, and similar.
These defaults are illustrative placeholders. They are not:
Industry benchmarks
Averages, medians, or typical values
Verified, audited, surveyed, or sourced from any dataset
Representations of what any advisor experiences
Representations of what you will experience
Do not treat any default value in SeminarIQ as data. It is a starting number in a blank field. Replace it with your own figures.
We may change the model, the formulas, the defaults, or the optimization logic at any time, without notice, and results may change accordingly.
4.5 Violation
Violation of Section 4.2 is a material breach. It may result in immediate termination without refund, and it triggers your indemnity under Terms Section 25. We may seek injunctive relief to stop it, without posting a bond. See Terms Section 27.5.
5. We Are Not Your Recordkeeper
SeminarIQ is not a books-and-records system, a recordkeeping system, an archive, or a system of record for any purpose, including Advisers Act Rule 204-2, FINRA Rule 4511, or any state or firm retention requirement.
We have no obligation to retain, preserve, archive, back up, export, produce, restore, or account for any scenario, projection, input, output, campaign record, or other data in SeminarIQ, for any period.
We may delete, purge, or lose any of it at any time, for any reason or no reason, with or without notice, and without liability to you — except that Client Data during an active subscription is handled as stated in Section 3.9.
We commit to no retention period whatsoever.
If you need a record, export or copy it and store it yourself, using whatever means are available to you (including copying, printing, or screenshotting your own data). We are not obligated to provide, maintain, or continue any export feature or format. If your firm's retention obligations require you to preserve something you created in SeminarIQ, preserving it is your responsibility, using your systems. If you fail to do so and it is lost, that is your loss and not ours.
Do not rely on SeminarIQ as your archive. See Terms Section 7.1.
6. Your License and Restrictions
Your license to SeminarIQ is the Firm License in Terms Section 9.1 — one Licensed Firm, individual logins for each Authorized User, internal business use only.
Base access is limited to one (1) individual user and one (1) firm, is personal to the individual who registered, and may not be shared with anyone.
In addition to the restrictions in Terms Sections 9.3 and 9.5, you may not:
Provide SeminarIQ access, or run SeminarIQ scenarios, for or on behalf of any firm other than your Licensed Firm
Use SeminarIQ to provide consulting, coaching, or analysis services to any other advisor or firm
Extract, replicate, reconstruct, or reverse engineer the calculation model, its formulas, its default assumptions, or its optimization logic — whether by inspecting outputs, systematically varying inputs, scraping, screenshotting, or any other means
Build a spreadsheet, calculator, model, or tool that replicates SeminarIQ's functionality
Use SeminarIQ or its outputs to train, fine-tune, or develop any artificial intelligence or machine learning model
Circumvent authentication, authorization, rate limiting, feature gating, or tenant isolation
Access, or attempt to access, any data belonging to any other firm or user
Probe, scan, or penetration-test the application without our express prior written authorization
The SeminarIQ calculation model, its formulas, its default assumptions, and its optimization logic are our confidential information and trade secrets. See Terms Section 10.
Unauthorized sharing of SeminarIQ access triggers the stipulated damages provision in Terms Section 9.4 ($2,500 per instance, plus fees and costs).
7. No Warranties, and No Liability
SeminarIQ is provided "as is" and "as available," with all faults, and without warranty of any kind. See Terms Section 22.
We specifically do not warrant the accuracy, correctness, reliability, completeness, or applicability of any SeminarIQ calculation, projection, optimization, recommendation, or output.
We do not warrant that SeminarIQ will be available, uninterrupted, secure, or error-free, or that any data you enter will be preserved, retained, backed up, or recoverable.
Our liability with respect to SeminarIQ is limited by Terms Section 23. Because SeminarIQ is provided at no charge and no portion of any purchase price is allocated to it, you should understand that our aggregate liability in respect of SeminarIQ is limited to a nominal amount — see Terms Sections 23.2 and 23.3.
These limitations are an essential basis of the bargain. We would not provide SeminarIQ at all without them.
8. Privacy and What We Collect
Our Privacy Policy applies to SeminarIQ in full. In summary, for SeminarIQ we collect:
Your account information — name, email, firm name, role, login credentials
Your business assumptions and inputs — costs, rates, revenue figures, scenario names, campaign parameters
Your usage data — logins, IP address, session activity, features used, actions taken
Business assumptions and usage data are inputs about your practice — advisor business information. Client Data entered into designated Client Data Features is a separate category, handled only under the Client Data Terms (Section 3): service delivery only, never marketing, never shared with Affiliates or Partners.
We treat your business assumptions and simulation inputs — not your Client Data — the same way we treat your Scorecard responses. Specifically, and you should read this before you use the tool:
We may retain them indefinitely.
We may use them to market our products and services to you.
We may share them with our Affiliates and business Partners, who may use them to market their products, services, platforms, and affiliation opportunities to you — unless you opt out. See Privacy Policy Section 7.
We may aggregate and de-identify them and use the result for any lawful business purpose without restriction, including developing and training our products, tools, models, and AI features, and publishing industry benchmarks and research. See Privacy Policy Section 2.1.
To opt out of Affiliate sharing: email info@bestdayslabs.com with the subject line "Affiliate Opt-Out." Opting out will not affect your access.
8.1 The Absolute Limit
None of the marketing, Affiliate-sharing, Partner-sharing, or benchmarking uses above apply to Client Data in identifiable form.
We do not share, and will not share, with any Affiliate, Partner, or other third party, any nonpublic personal information about any of your clients, for marketing, recruiting, business development, or any other commercial purpose, ever. Client Data is disclosed only to the infrastructure service providers who host and operate our systems, as required by valid legal process, or at your direction (Section 3.6). Shared or published statistics derived from Client Data are aggregated and de-identified only, with no client or household identifiable. No provision of the Terms, this Addendum, or the Privacy Policy grants us or any Affiliate any right to use any client's nonpublic personal information for any commercial purpose. See Terms Section 17.1 and Privacy Policy Section 7.2.
9. Your Regulatory Responsibility
Terms Section 7 applies in full. You are a regulated professional, and your compliance is your responsibility.
Nothing in SeminarIQ — no projection, no score, no optimization, no recommendation, no output — constitutes advice, an approval, a pre-approval, a certification, or a determination that anything is compliant with any rule that applies to you.
Nothing in SeminarIQ has been reviewed or approved by the SEC, FINRA, any state regulator, or any insurance carrier.
Obtain your own firm's compliance approval before acting on anything SeminarIQ tells you, and before using any material derived from it.
If your compliance department or supervising firm restricts or prohibits your use of SeminarIQ or of anything it produces, their requirements control, and their prohibition does not entitle you to a refund of anything.
10. Changes to This Addendum
We may update this Addendum at any time, in our sole discretion. The updated version will be posted with a revised "Last Updated" date and takes effect when posted.
Where we require it, you may be asked to accept an updated version before continuing to use SeminarIQ. Our records of your acceptance, including date, time, IP address, and version presented, are conclusive evidence of your acceptance absent manifest error.
Your continued use of SeminarIQ after a change is posted means you accept the revised Addendum.
